Welcome to the Essex Integrative Health, LLC website (www.essexintegrativehealth.com) (the “Site”). Please read these Terms of Service (the “Terms”) carefully because they govern your use of this Site and the services offered by Essex Integrative Health, LLC (“Essex,” “we,” “us,” and “our”), including laboratory-based assessments, nutritional supplement programs, and diet and lifestyle counseling (collectively the “Services”). For purposes of these Terms of Service, “you” and “your” means you, your dependent(s), if any, and any other person accessing your Essex Integrative Health Account.
Your acceptance of, and compliance with these Terms of Service is a condition of your use of the Site and Services. By clicking “Accept,” you acknowledge that you have read, understand, and accept all terms and conditions contained in these Terms of Service and our Privacy Policy. If you do not agree to be bound by these Terms, you are not authorized to access or use this Site or the Services; and accordingly we ask that you promptly exit this Site. This Site and the Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to access this Site or the Services without the consent of a parent or legal guardian, as required by Section 6 below. By continuing to access the Site or Services, you indicate that you agree to these Terms of Service.
Notice of Binding Arbitration. These Terms of Service provide that all disputes between you and Essex that in any way relate to these Terms of Service or your use of the Site will be resolved by binding arbitration. Accordingly, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms of Service. Your rights will be determined by a neutral arbitrator, not a judge or jury, and your claims cannot be brought as a class action. Please review Section 14 below labeled “Dispute Resolution; Arbitration Agreement” for the details regarding your agreement to arbitrate any disputes with Essex.
1. Privacy Practices.
Please refer to our Privacy Policy for information on how we collect, use and disclose your information. You agree that information provided by you in connection with the Services and Site shall be governed by the Essex Integrative Health, LLC Privacy Policy which is hereby incorporated and made a part of this Agreement.
2. Services Provided – No Medical Care or Advice by Essex.
Essex provides a variety of Functional Medicine services, however, Essex does not provide medical advice or care. The content of the Site and the Services, including without limitation text, copy, audio, video, photographs, illustrations, graphics, and other visuals, is for informational purposes only and does not constitute professional medical advice, diagnosis, treatment, or recommendations of any kind by Essex. As such, you will need a Primary Care Physician (a “PCP”) while working with Essex, and we cannot work with your without a PCP on record. All information provided by Essex, or in connection with any communications supported by Essex, is intended to be for general information purposes only, and is in no way intended to create a provider-patient relationship as defined by state or federal law. Essex does not handle medical or mental health emergencies. You should always seek the advice of your qualified health care professionals as recommended, or with any questions or concerns you may have regarding your individual needs and any medical conditions. You should not disregard or delay to seek medical advice based on anything that appears or does not appear on the Site. IF YOU ARE EXPERIENCING AN EMERGENCY, YOU SHOULD DIAL “911” IMMEDIATELY. You should seek emergency help or follow up care when recommended by a physician or when otherwise needed. Always seek the advice of a physician or other qualified healthcare provider concerning questions you have regarding a medical condition and before stopping, starting, or modifying any treatment or medication. You acknowledge that your reliance on any information delivered by Essex is solely at your own risk and you assume full responsibility for all risks associated therewith.
The purpose of the Functional Medicine laboratory testing provided by Essex is to evaluate nutritional, biochemical, or physiological imbalance and to determine any need for medical referral. The lab tests we offer are not intended to diagnose disease. Functional Medicine assessment is designed to assist our healthcare providers in finding the underlying causes of your condition, however you understand that your medical physician may or may not agree with the necessity for—or our interpretation of—these tests.
Essex makes nutritional supplements easily available to you via Fullscript. You are under no obligation to purchase nutritional supplements via Fullscript, however we recommend these products based on our understanding of their level of quality. When you purchase supplements from the general marketplace you are not guaranteed that they adhere to the same level of quality as those supplements offered by Essex via Fullscript.
You agree that any nutritional, herbal or other supplements that you acquire from or which are recommended by Essex will be solely for your personal use. You agree to fully and carefully read all provided product information and labels and to contact a physician or pharmacist if you have any questions regarding any supplement. According to the Federal Food, Drug, and Cosmetic Act, as amended, Section 201(g)(1), the term “drug” is defined as an “article intended for use in the diagnosis, cure, mitigation, treatment, or prevention of disease.” Technically, the supplements recommended and provided by Essex, such as vitamins, minerals, trace elements, amino acids, herbs, or homeopathic remedies, are not classified as drugs. However, these substances can have significant effects on physiology and must be used responsibly. Essex provides nutritional counseling and makes individualized recommendations regarding use of these substances in order to upgrade the quality of foods in a patient’s diet and to supply nutrition to support the physiological and biomechanical processes of the human body. Although these products may also be suggested with a specific therapeutic purpose in mind, their use is chiefly designed to support given aspects of metabolic function. Use of nutritional supplements may be safely recommended for patients already using pharmaceutical medications (drugs), but some potentially harmful interactions may occur. For this reason, it is important to keep all of your healthcare providers fully informed about all medications and nutritional supplements, herbs, or hormones you may be taking
3. Risks of Telehealth Services.
By using the Services, you acknowledge the potential risks associated with telehealth services. These include but are not limited to the following: information transmitted may not be sufficient (e.g. poor resolution of images) to allow for appropriate health care decision making; delays in evaluation or treatment could occur due to failures of electronic equipment; a lack of access to your medical records may result in adverse interactions or allergic reactions or other judgment errors; although the electronic systems we use incorporate network and software security protocols to protect the privacy and security of health and personal information, those protocols could fail causing a breach of privacy of your health information.
4. Electronic Communications.
Essex Integrative Health, LLC provides patients the opportunity to communicate with Essex Integrative Health, LLC health care providers and administrative staff by email and other internet communications (collectively “Electronic Communications”). There are a number of risks that you should consider before transmitting confidential health information to Essex Integrative Health, LLC via Electronic Communications.
Risks of Electronic Communication: Electronic Communications can be immediately broadcast worldwide and be received by many intended and unintended recipients; recipients can forward Electronic Communications to other recipients without the original sender(s) permission or knowledge; users can easily misaddress an Electronic Communication; Electronic Communications are easier to falsify than handwritten or signed documents; backup copies of Electronic Communications may exist even after the sender or the recipient has deleted his or her copy; patients who send or receive Electronic Communications from their place of employment risk having their employers read their emails.
Protected Health Information: It is the policy of Essex Integrative Health, LLC that all Electronic Communications sent or received which concern your health information will be classified as Protected Health Information (“PHI”) and will be treated with the same degree of confidentiality as afforded other portions of your PHI. Essex Integrative Health, LLC will use reasonable means to protect the security and confidentiality of Electronic Communications between you and Essex Integrative Health, LLC, however, because of the risks outlined above, we cannot guarantee the security and confidentiality of such Electronic Communications.
By consenting to Essex Integrative Health, LLC contacting you via Electronic Communications you agree to the following:
All Electronic Communications concerning your health information or wellness programs will be classified as PHI. As a part of your PHI, other individuals, such as Essex Integrative Health, LLC’s practitioners, insurance coordinators, and upon your written authorization, other health care providers and insurers, will have access to those Electronic Communications contained in your PHI.
Essex Integrative Health, LLC may forward Electronic Communications concerning your health information or wellness programs within the practice as necessary for client management. Essex Integrative Health, LLC will not, however, forward such Electronic Communications outside the practice without your consent, as required by law.
Essex Integrative Health, LLC will endeavor to read Electronic Communications promptly but can provide no assurance that the recipient of a particular Electronic Communication will read the Electronic Communication promptly. Therefore, Electronic Communications must not be used in a medical emergency.
It is the responsibility of the sender of an Electronic Communication to determine whether the intended recipient will receive the Electronic Communication and whether, and when, the recipient will respond.
Some medical information is so sensitive that unauthorized discloser can be very damaging, and therefore Electronic Communications should not be used for transmitting information concerning: (1) diagnosis or treatment of AIDS/HIV infection; (2) other sexually transmissible or communicable diseases, such as syphilis, gonorrhea, herpes, and the like; (3) behavioral health, mental health, or developmental disability; or (4) alcohol or drug abuse.
Essex Integrative Health, LLC cannot guarantee that Electronic Communications will be private. However, we will take reasonable steps to protect the confidentiality of Electronic Communications between you and Essex Integrative Health, LLC. Nonetheless, Essex Integrative Health, LLC is not liable for improper disclosure of confidential information contained in Electronic Communications or otherwise.
It is your responsibility to inform Essex Integrative Health, LLC of any types of information you do not want to be transmitted via Electronic Communication.
It is your responsibility to protect your password or other means of access to Electronic Communications sent to or received from Essex Integrative Health, LLC in order to protect their confidentiality. Essex Integrative Health, LLC is not liable for breaches of confidentiality caused by you.
5. Account Creation and Termination; User Information.
In order to use the Services you will need to set up an Essex Integrative Health Account (your “Account”). To create your Account, you may be required to provide various information about yourself including your name, email address, and other personal information. You agree that any information you give to Essex will always be accurate, correct, and up to date. You must not impersonate someone else or provide account information, an email address, or any other information that is not your own. Your Account must not be used for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction.
Your Account, including your Essex Integrative Health ID and credentials are personal to you, and you are solely responsible for maintaining their confidentiality, and for all activities that occur under those credentials. You agree to prohibit anyone else from using your Essex Integrative Health ID or credentials and agree to immediately notify Essex of any actual or suspected unauthorized use of your ID or credentials, or other security concerns of which you become aware.
In the event that you violate these Terms of Service, Essex reserves the right to cancel or terminate your participation in the Services or your right to use the Site or any part of the Site at any time without notice and without refund. In the event of termination, you are no longer authorized to access the part(s) of the Site affected by such termination. The restrictions imposed on you with respect to material downloaded from the Site, and the disclaimers and limitations of liabilities set forth in these Terms of Service, shall survive.
If you submit, upload, post, or transmit any health information, medical history, conditions, problems, symptoms, personal information, consent forms, agreements, requests, comments, ideas, suggestions, information, files, videos, images, or other materials to us or our Site (collectively “User Information”), you agree not to provide any such User Information that: (a) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior; (b) violates or infringes the privacy, copyright, trademark, trade secrets, or intellectual property rights of any person or entity; or (c) contains or transmits a virus or any other harmful component. You agree not to contact other Site users through unsolicited email, telephone calls, mailings, or any other method of communication. You represent and warrant to Essex that you have the legal right and authorization to provide all User Information to Essex for use as set forth herein and required by Essex.
In the event of any loss or corruption of any data associated with the Site or Services, Essex will use commercially reasonable efforts to restore the lost or corrupted data from the latest backup of such data maintained by Essex. EXCEPT FOR THE FOREGOING, ESSEX WILL NOT BE RESPONSIBLE FOR ANY LOSS, DESTRUCTION, ALTERATION, UNAUTHORIZED DISCLOSURE OR CORRUPTION OF ANY SUCH DATA. You agree to defend, indemnify, and hold harmless Essex from and against all third party claims, damages, and expenses (including, but not limited to, reasonable attorneys’ fees) against or incurred by us arising out of any User Information you upload to or transmit through the Site or any breach of this Section 5.
6. Eligibility to Access Site and Services.
In order to access the Site and the Services, you represent and warrant that you are 18 years or older. If you are under the age of 18 and wish to create an Account with Essex, your parent or legal guardian must create the Account, submit your personal information, and agree to our Privacy Policy and these Terms on your behalf. If you are under 18, do not use or provide any information on our Site or on or through any of its features, including your name, address, telephone number, email address, or any screen name or user name you may use.
7. Ownership of the Site and Related Materials; Additional Restrictions.
All pages within this Site and any material made available for download are the property of Essex, or its licensors or suppliers, as applicable. The Site is protected by United States and international copyright and trademark laws.
Subject to these Terms of Service and the payment of all applicable fees, Essex grants you a revocable, nontransferable (except as provided below), personal, nonexclusive license to use the object code version of the Site. All rights not expressly granted to you in these Terms of Service are reserved and retained by Essex or its licensors, suppliers, publishers, rights holders, or other content providers. Neither the Site and Services, nor any part of the Site and Services, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Essex. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Essex without express written consent. You may not use any meta tags or any other "hidden text" utilizing Essex’s name or trademarks without the express written consent of Essex. You may not misuse the Site or Services. You may use the Site and Services only as permitted by law. The content of the Site, including without limitation the files, documents, text, photographs, images, audio, and video, and any materials accessed through or made available for use or download through this Site may not be copied, distributed, modified, reproduced, published, or used, in whole or in part, except for purposes authorized or approved in writing by Essex. You may not frame or utilize framing techniques to enclose, or deep linking to, any name, trademarks, service marks, logo, content, or other proprietary information (including, without limitation, images, text, page layout, or form) of Essex without our express written consent.
8. Accuracy of Information; Functionality; Links to Other Sites.
Although Essex attempts to ensure the integrity and accurateness of the Site and Services descriptions, it makes no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Site, Service descriptions and other content on the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions, and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Essex so that it can be corrected. Information contained on the Site may be changed or updated without notice. Additionally, Essex shall have no responsibility or liability for information or content posted to the Site from any non-Essex affiliated third party.
Essex reserves complete and sole discretion with respect to the operation of the Site and the Services. We may withdraw, suspend, or discontinue any functionality or feature of the Site or the Services among other things. We are not responsible for transmission errors, corruption, or compromise of information carried over local or interchange telecommunications carrier. We are not responsible for maintaining information arising from use of the Site or with respect to the Services. We reserve the right to maintain, delete, or destroy all communications or information posted or uploaded to the Site or the Services in accordance with our internal record retention or destruction policies.
Essex makes no representations whatsoever about any other Site that you may access through this Site. When you access a non-Essex site, please understand that it is independent from Essex, and that Essex has no control over the content on that Site. In addition, a link to a non-Essex Site does not mean that Essex endorses or accepts any responsibility for the content, or the use, of the linked site. It is up to you to take precautions to ensure that whatever you select for your use or download is free of such items as viruses, worms, Trojan horses, and other items of a destructive nature. If you decide to access any of the third party sites linked to this Site, you do so entirely at your own risk.
9. Copyright and Intellectual Property Policy.
Essex respects copyright law and expects its users to do the same. It is Essex’s policy to terminate, in appropriate circumstances, Accounts of those who repeatedly infringe the rights of copyright holders. For further information, please see Essex’s Copyright and IP Policy, which is hereby incorporated and made a part of this Agreement.
10. Governing Law.
These Terms and any action related thereto will be governed by the laws of the Commonwealth of Massachusetts without regard to its conflict of laws provisions.
11. Disclaimer of Warranties.
ESSEX DOES NOT WARRANT THAT ACCESS TO OR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. THIS SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SITE-RELATED SERVICE, IS PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF INFORMATION, QUIET ENJOYMENT, AND TITLE/NON-INFRINGEMENT. ESSEX DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE INFORMATION OBTAINED THROUGH THE SITE.
YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE, SITE-RELATED SERVICES, AND LINKED SITES. ESSEX DOES NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER DESTRUCTIVE PROGRAMMING. YOU ARE RESPONSIBLE FOR IMPLEMENTING PROCEDURES SUFFICIENT TO SATISFY YOUR NEEDS FOR DATA BACK UP AND SECURITY.
WARRANTIES RELATING TO PRODUCTS OR SERVICES OFFERED, SOLD, AND DISTRIBUTED BY ESSEX ARE SUBJECT TO SEPARATE WARRANTY TERMS AND CONDITIONS, IF ANY, PROVIDED BY ESSEX OR THIRD PARTIES WITH OR IN CONNECTION WITH THE APPLICABLE PRODUCTS OR SERVICES. YOU ACKNOWLEDGE AND UNDERSTAND THAT THE USE OR MISUSE OF THE PRODUCTS OBTAINED THROUGH OUR SITE MAY RESULT IN UNDESIRABLE OR UNEXPECTED CONSEQUENCES. ESSEX DOES NOT ACCEPT ANY LIABILITY FOR THE CONSEQUENCES ARISING FROM THE APPLICATION, USE, OR MISUSE OF ANY PRODUCTS OR SERVICES CONTAINED ON OR MADE AVAILABLE THROUGH THE SERVICE OR SITE, INCLUDING ANY INJURY OR DAMAGE TO ANY PERSON OR PROPERTY AS A MATTER OF NEGLIGENCE, OR OTHERWISE, INCLUDING YOUR FAILURE TO COMPLY WITH ANY WARNING LABELS OR INSTRUCTIONS ATTACHED TO THE PRODUCTS.
12. Limitation of Liability Regarding Use of the Site.
NEITHER ESSEX NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES, SITE, OR CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, SITE, OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ESSEX HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
IN NO EVENT WILL ESSEX’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, ANY DISPUTE IN RELATION TO INTELLECTUAL PROPERTY RIGHTS IN A DESIGN OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, SITE, OR CONTENT EXCEED THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU TO ESSEX FOR USE OF THE SERVICES, SITE, OR CONTENT, OR IF YOU HAVE NOT HAD ANY SUCH PAYMENT OBLIGATIONS, ONE HUNDRED UNITED STATES DOLLARS ($100).
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ESSEX AND YOU.
13. No Third Party Rights.
Unless expressly stated in the Terms of Use to the contrary, nothing herein is intended to confer any rights or remedies on any persons other than you, and Essex and its affiliates. Nothing in the Terms of Service is intended to relieve or discharge the obligation or liability of any third persons to you, or Essex or its affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, Essex, or its affiliates.
14. Dispute Resolution; Arbitration Agreement.
The parties hereto agree to resolve any dispute, claim or controversy arising out of or relating to these Terms of Service, the Site, Services, or product ordered or purchased through the Site according to the terms of this Section 14. First, the parties hereto agree to attempt in good faith to resolve any dispute through informal resolution. If the dispute is not resolved through informal resolution, the parties hereto agree to participate in binding arbitration under the rules of the American Arbitration Association (the “AAA”). The arbitration shall be conducted by one arbitrator agreed upon by the parties, or if no agreement is reached, one shall be selected by the AAA. Each party shall be solely responsible for its own costs and fees, including legal fees, regardless of the outcome. In the event of arbitration (or in the event of a lawsuit if this arbitration clause is deemed invalid or does not apply to a given dispute), the costs of the arbitration and arbitrator’s fees shall be split equally by the parties. In the event that the dispute resolution procedures in this paragraph are found not to apply to a given claim, or in the event of a claim for injunctive relief as specified in the previous sentence, the Parties agree that any judicial proceeding will be brought in the state courts of Suffolk County, Massachusetts. Both Parties consent to venue and personal jurisdiction there.
15. Indemnification.
You will indemnify and hold harmless Essex and its officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services or Site; (ii) your User Information; or (iii) your violation of these Terms.
16. Termination.
Essex reserves the right, in its sole discretion, to terminate your access to all or part of this Site, with or without cause, and with or without notice. Essex reserves the right to modify these Terms of Service at any time, effective upon posting. Any use of this Site after such changes will be deemed an acceptance of those changes. You agree to review the Terms of Service each time you access this Site so that you may be aware of any changes to these Terms.
17. Pricing.
Fees for the Services vary based on the length and nature of each appointment. Your engagement with Essex will begin with a sixty (60) minuet appointment (a “New Patient Appointment”). Functional Medicine New Patient Appointments cost $275.00 USD. Chiropractic & Manual Therapies New Patient Appointments cost $165 USD. Functional Medicine Follow-up appointments that last thirty (30) minuets will cost $135.00 USD per each thirty (30) minuet appointment. Functional Medicine Follow-up appointments with lab results review will last forty-five (45) minuets, and cost $195.00 USD per each forty-five (45) minuet appointment. Functional Medicine Follow-up appointments that last thirty (15) minuets will cost $75.00 USD per each fifteen (15) minuet appointment. Chiropractic & Manual Therapies Follow-up appointments that last fifteen (15) minuets will cost $60.00 USD per each fifteen (15) minuet appointment. Chiropractic & Manual Therapies Follow-up appointments that last thirty (30) minuets will cost $110.00 USD per each thirty (30) minuet appointment. Our online booking system requires a deposit payment of $100 at the time of booking a new patient or new client appointment.
18. Cancellation Fees.
By scheduling an appointment or creating an Account with Essex, you signify that you agree to our cancellation policies.
Essex requires 24-hour advance notice of cancellation, received during our normal business hours for cancelled or rescheduled visits. If you fail to notify us of a missed appointment 24 hours before your scheduled appointment time, you will be charged a $60.00 USD cancellation fee, paid automatically at the time of the cancellation or late rescheduling by the credit card on file.
Due to schedule availability, a non-refundable deposit payment is required for all new patients at the time of booking. The deposit will contribute to your balance or stay as a credit on your account to be applied to future appointments and services.
19. General Terms.
These Terms constitute the entire and exclusive understanding and agreement between Essex and you regarding the Services Site, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Essex and you regarding the Services Site. If for any reason an arbitrator or court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
You may not assign or transfer these Terms, by operation of law or otherwise, without Essex’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Essex may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
Any notices or other communications provided by Essex under these Terms, including those regarding modifications to these Terms, will be given by Essex: (i) via e-mail; or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
Essex’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
